The steward

identity.org.au is stewarded by DETIO FOUNDATION LTD (“Dynamic Elastic Technologies, Internet Organization”), an Australian not-for-profit public company limited by guarantee, ACN 699 651 771. The Foundation stewards two public-benefit technology programs: VirtEngine (the protocol, identity system, and infrastructure this wallet is part of) and DSEMA (a multi-agent AI architecture).

The public-benefit lock

The Foundation's constitution — a signed public document — contains protections that go beyond ordinary not-for-profit status:

• No private profit. The Foundation must not operate for private commercial interests, pay dividends, or allow private capture of its intellectual property or digital assets.
• Commercial activity is subordinate. Revenue-raising is permitted only to fund, scale and sustain the charitable purposes.
• Protected provisions. A schedule of entrenched clauses — the public-benefit lock — cannot be amended through ordinary governance.
• Assets can never be privatised. On winding-up, all assets, including the technology and patent rights, must pass to another charity or public-benefit entity.

The purposes, briefly

The constitution establishes the Foundation for charitable and public-benefit purposes, including:

• Advancing education — open research, open specifications, standards and safety materials for privacy-preserving digital infrastructure
• Advancing social and public welfare through secure, privacy-preserving, resilient and affordable digital infrastructure
• Promoting and protecting human rights — privacy, dignity, autonomy, equality of access, and protection from unlawful surveillance and private capture of essential digital infrastructure
• Advancing the security and safety of Australia — cyber security, identity safety, AI safety, data protection and infrastructure resilience

An identity wallet is a direct expression of those purposes: identity safety and privacy protection, delivered as open infrastructure that no private interest can capture.

Governance structure

• A Founding Member (with two votes) and up to two Ordinary Members
• A Permanent Director seat, alongside the board
• Reserved Matters requiring elevated approval
• Protected Provisions (Schedule 1) carrying the public-benefit lock described above
